These general terms of sale (GTS) govern the contractual relationship between VECTAR Communication OÜ (hereafter "VECTAR") and its clients for any service provided in branding, packaging design, industrial automation, and content production.
Any quote issued by VECTAR is valid for 30 days. The order is considered firm upon signature of the quote and payment of the agreed deposit (typically 50% of the total amount excluding VAT).
Prices are quoted in euros (€) excluding VAT. VAT is applied according to applicable European regulations (reverse charge for intra-EU B2B clients with a valid VAT number). Travel expenses outside of Tallinn are invoiced in addition.
Payment is made by bank transfer (SEPA) or by accepted EU payment providers (Stripe, Wise). A 50% deposit is required at the time of order, with the balance due upon delivery. Any late payment incurs penalties of 3% per month of delay, in accordance with Estonian commercial law and Directive 2011/7/EU on combating late payment.
Lead times are indicative and communicated in the quote. VECTAR commits to inform the client of any foreseeable delay. Delays cannot give rise to cancellation of the order or claims for damages.
Graphic creations, logos, and visual assets become the property of the client upon full payment. VECTAR retains the right to mention the collaboration for portfolio and promotional purposes.
VECTAR commits to respecting the confidentiality of information provided by the client. A non-disclosure agreement (NDA) can be signed upon request.
Automation solutions benefit from a 3-month operational warranty after delivery. The Factory 4.0 Complete Pack includes 12 months of priority support.
In the event of termination by the client, deposits paid remain acquired by VECTAR. If termination occurs after work has begun, pro-rata invoicing will be carried out.
These terms are governed by Estonian law and applicable European Union regulations. In the event of a dispute, the parties shall endeavour to find an amicable solution. Failing that, the competent courts of Tallinn, Estonia shall have exclusive jurisdiction.
